Terms of Service

Welcome to UpdatesPad. These Terms are the agreement between you and UpdatesPad LLC. They explain what we owe each other when you use the service. We've written them in plain English because terms you can't read aren't really terms — they're paperwork.

By using UpdatesPad, you agree to these Terms. If you don't agree, please don't use the service.

1. Who's who

UpdatesPad (also "we," "us," "our") is UpdatesPad LLC, a Virginia limited liability company, based at Reston, VA.

You (also "Customer") is the person or business that creates an UpdatesPad account and agrees to these Terms. If you're signing up on behalf of a business, you represent that you have authority to bind that business.

Your Customers are the people you serve through UpdatesPad — typically your countertop shop's clients who interact with your projects through the client portal. They're not a party to these Terms; their relationship with UpdatesPad is covered in Section 11 (Client Portal).

2. What UpdatesPad does

UpdatesPad is software-as-a-service that helps countertop shops manage their business — CRM, quoting, jobs, scheduling, client updates, and integrations. We make the service available to you on a subscription basis.

The specific features available depend on your plan. We may add, change, or remove features over time. We won't materially reduce the core functionality of your plan without notice.

3. Getting started and account access

New accounts are set up through a guided onboarding process — there's no self-serve signup. You'll talk to us, we'll set you up, and then your team gets access.

You're responsible for:

  • Keeping your sign-in credentials secure
  • Activity that happens under your account
  • Making sure the people on your team who use UpdatesPad understand and follow these Terms

If you think someone has accessed your account without permission, email us at support@updatespad.com right away.

4. Plans, billing, and renewal

Plans

UpdatesPad is priced by your monthly or annual job volume. Plan details — including price, job limits, and features — are on our Pricing page. Every plan includes every feature. What changes between plans is how many jobs your tier covers per month.

Billing cycle

You can pay monthly or annually. Your billing cycle starts on the day you sign up. We charge the first payment when your account is set up; afterward, we charge at the start of each cycle.

Auto-renewal

Your subscription renews automatically — monthly for monthly plans, annually for annual plans — until you cancel.

Failed payments

If a payment fails, we'll let you know and give you 10 days to update your payment method. If we still can't process payment after the grace period, we may suspend your account. We won't delete your data during this window.

Plan changes

You can upgrade or downgrade your plan at any time. Upgrades take effect immediately; we pro-rate the difference. Downgrades take effect at the start of your next billing cycle.

Going over your plan's job limit

If you exceed your plan's monthly job count, we'll flag it and talk through your options. We won't automatically charge you a higher rate or move you to a different plan without your agreement.

Refunds

If you cancel before the end of your billing cycle, we'll refund the unused portion on a pro-rated basis. Refunds are processed to your original payment method, typically within 10 business days.

5. Acceptable use

You can use UpdatesPad to run your business. You can't use it to:

  • Resell, sublicense, or repackage UpdatesPad as your own product
  • Reverse-engineer, decompile, or attempt to extract our source code
  • Access UpdatesPad through automated means (scrapers, bots) without our written permission
  • Send spam, unsolicited marketing, or illegal communications through any UpdatesPad feature (including email, the client portal, or any other communications tools)
  • Upload illegal content, malware, or anything that violates someone else's rights
  • Interfere with the service, other accounts, or our infrastructure
  • Use the service in violation of any applicable law

If you violate any of these, we may suspend or terminate your account. For serious violations, we may terminate immediately. For less serious ones, we'll usually reach out first.

6. Your data

You own your data

Anything you put into UpdatesPad — your contacts, quotes, jobs, files, messages, customer information, and so on — belongs to you. We don't own it. We don't sell it. We don't share it with anyone outside of running the service for you. (See our Privacy Policy for the full picture.)

We process it on your behalf

For data protection purposes, you are the data controller of the customer data you collect and put into UpdatesPad. We are the data processor — we store and process that data on your behalf, under your instructions. You're responsible for:

  • Getting the necessary consent from your customers to collect their information
  • Telling your customers how their data will be used
  • Complying with applicable privacy laws in your jurisdiction

We're responsible for processing that data securely and only as described in our Privacy Policy.

Exporting your data

You can request a copy of your data at any time. Email support@updatespad.com and we'll get it to you in a portable format.

Data after account closure

If you close your account or we terminate it, your data is retained for one year in case you want it back or want to reactivate. After one year, we permanently delete it. You can request earlier deletion by emailing us, and we'll handle it within a reasonable time (typically 30 days).

Some records — billing history, security logs, things we're legally required to keep — are retained longer when required by law.

7. Third-party services

UpdatesPad integrates with third-party services like QuickBooks, Stripe, and others. When you connect a third-party service, you're authorizing UpdatesPad to send and receive data with that service on your behalf.

You're responsible for your account with the third-party service, including their fees, terms, and any data you store there. We're responsible for the integration code on UpdatesPad's side.

If a third-party service changes its API, shuts down, or otherwise breaks the integration, we'll do our best to fix or replace it, but we can't guarantee continuous availability of any third-party connection.

8. Service availability and changes

We work hard to keep UpdatesPad available, fast, and reliable. But:

  • We don't currently commit to a specific uptime guarantee.
  • We may perform scheduled maintenance, usually outside business hours. We'll give notice when we can.
  • Unscheduled downtime sometimes happens — software bugs, infrastructure issues, things outside our control.
  • We may update the product, including adding, changing, or removing features. We won't materially reduce the core functionality of your plan without reasonable notice.

If extended downtime ever significantly impacts your use of the service, contact us. We'll work something out.

9. Suspension and termination

You can cancel anytime

Email support@updatespad.com to cancel. We don't have a self-serve cancel button — we'd rather hear from you. Your service continues through the end of your current billing cycle (or you can request a pro-rated refund as described in Section 4).

We can terminate for cause

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails and isn't resolved within the grace period
  • We're legally required to
  • You use the service in a way that creates risk for us, other customers, or third parties

For non-payment, we'll give you notice and time to resolve. For violations, we may act immediately depending on severity.

What happens after termination

Your access ends. Your data is retained for one year as described in Section 6, then deleted. Sections of these Terms that, by their nature, should survive (intellectual property, liability, dispute resolution, etc.) continue to apply.

10. Intellectual property

Our stuff is ours. UpdatesPad — the software, the brand, the documentation, the design — is owned by UpdatesPad LLC. These Terms give you the right to use the service; they don't transfer ownership of anything.

Your stuff is yours. Your data, your business information, your customer information — that's all yours.

Feedback. If you send us suggestions, feedback, or feature requests, you give us permission to use them without obligation or compensation. (We'll probably love you for it.)

11. Client Portal

When you set up a project in UpdatesPad, your customer can access a private link (the "Client Portal") to see updates, approve work, view photos, and communicate with you.

By using the Client Portal, your customer agrees that:

  • UpdatesPad will store the information they provide (approvals, photos, messages) on your behalf
  • That information is part of your account, not theirs
  • They have no separate account, subscription, or billing relationship with UpdatesPad
  • These Terms (specifically Sections 5, 6, and 8) and our Privacy Policy apply to their use of the Client Portal

You're responsible for letting your customers know how their information will be used and getting any consent that applicable law requires.

12. Warranties and disclaimers

UpdatesPad is provided "as is" and "as available." We don't make any warranties beyond what's required by law — we can't guarantee the service will be uninterrupted, error-free, perfectly accurate, or fit for any specific purpose.

This doesn't mean we don't care about quality. It means we can't promise perfection, and you shouldn't assume any.

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law:

  • UpdatesPad's total liability to you for any claim related to these Terms or the service is limited to the amount you paid us in the 12 months before the claim arose.
  • We're not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, lost business, or any similar damages — even if we knew about the possibility.

These limits apply whether the claim is in contract, tort, or any other legal theory. Some jurisdictions don't allow these limits, so they may not apply to you fully.

14. Indemnification

You agree to defend and indemnify UpdatesPad LLC and our employees from any claims or losses arising from:

  • Your violation of these Terms
  • Your violation of applicable law
  • Your data or content (including customer data) infringing someone else's rights
  • Your use of UpdatesPad in a way that causes harm to a third party

We'll let you know if a claim comes up that involves you, and we'll cooperate reasonably.

15. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.

If we have a dispute, we both agree to try to resolve it informally first by emailing support@updatespad.com. If we can't, the dispute will be resolved in the state or federal courts located in Virginia. You consent to the jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll let you know — by email, through the product, or both — at least 30 days before the changes take effect. If you keep using UpdatesPad after the changes take effect, you agree to the updated Terms. Minor changes (clarifications, typos) we'll just update without notice.

17. Miscellaneous

  • Entire agreement. These Terms, plus our Privacy Policy and any other documents we link to from here, are the full agreement between you and UpdatesPad LLC about the service.
  • Severability. If a court finds any part of these Terms unenforceable, the rest stays in effect.
  • No waiver. If we don't enforce a right under these Terms right away, it doesn't mean we've given it up.
  • Assignment. You can't transfer your rights under these Terms without our permission. We can transfer ours, for example, in a merger or sale of the business.
  • Notices. We'll send legal notices to the email on your account. You can send notices to support@updatespad.com.
